Dividend Information
The Board of Directors eliminated shareholder dividends effective 2010.
Pursuant to a "Plan of Partial Liquidation" approved by shareholders 12/22/2021, the Company paid a special distribution of $92.00 per share on 12/31/2021, to shareholders of record 12/27/2021, and planned to make a second special distribution of approximately $8 per share on or before 12/31/2022, to shareholders of a future record date for such purpose.
The "Plan of Partial Liquidation" was subsequently approved for amendment by shareholders 7/15/2022 to allow the Company to conduct a tender offer in lieu of the second special distribution. The Company's "Dutch auction" tender, initiated 11/18/2022, concluded 12/20/2022 with 115,190 shares of common stock accepted for purchase at a price of $20.00 per share for a total cost of $2,303,800 excluding fees and expenses.
